Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you and iOE Technology Ltd. ("EC4S", "we", "us", or "our") governing your access to and use of the EC4S Smart Site Safety System platform, including the website at https://ec4s.com, the EC4S mobile application, IoT ingest APIs, dashboards, alerts, CCTV viewing, applications, store, and related services (collectively, the "Service").

By registering for an account, accessing the Service, or placing a store order, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.

If you use the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" includes that organization.

You must be at least 18 years old and capable of forming a binding contract under applicable law to use the Service. You must provide accurate and complete registration information and keep your account details up to date.

EC4S is an IoT command centre for construction site safety and smart district operations. The Service may include real-time device monitoring, alert management, CCTV playback, dynamic dashboards, digital applications, hardware store, mobile companion access, and project administration tools.

Features available to you may vary by project, role, configuration, and deployment. We may modify, suspend, or discontinue any part of the Service at any time, with reasonable notice where practicable. We do not guarantee that any particular feature will remain available indefinitely.

You are responsible for safeguarding your login credentials and for all activity under your account. You must notify us promptly of any unauthorized access or security breach.

Project administrators control user invitations, roles, and permissions within their projects. EC4S is not responsible for permissions configured by project administrators or for access granted by customers to their team members.

We may suspend or terminate your account immediately if we reasonably believe you have violated these Terms, pose a security or legal risk, or if required by law.

As a user or customer of the Service, you agree to:

• Comply with all applicable laws and regulations, including Hong Kong construction safety requirements, the Personal Data (Privacy) Ordinance, employment laws, and CCTV or monitoring laws in each jurisdiction where you operate
• Obtain all necessary consents, notices, and authorizations before monitoring site personnel, collecting telemetry, or deploying CCTV or safety devices connected to the Service
• Configure projects, devices, and alert rules accurately and not deliberately generate false or misleading alerts or data
• Ensure that only authorized employees and contractors access the Service under appropriate confidentiality obligations
• Maintain physical security of IoT devices, ingest tokens, and site equipment connected to the Service

You must not:

• Access or attempt to access the Service or related systems without authorization
• Reverse engineer, decompile, scrape, or copy the Service except as permitted by law
• Resell, sublicense, white-label, or provide the Service to third parties without our prior written consent
• Interfere with or disrupt the Service, including through excessive API requests, malware, or denial-of-service activity
• Upload unlawful content or use the Service for unlawful surveillance or harassment
• Infringe intellectual property, privacy, or other rights of any person
• Circumvent security controls, access restrictions, or usage limits

We may investigate violations and cooperate with law enforcement where required.

You are responsible for procuring, installing, calibrating, maintaining, and operating IoT devices and sensors connected to the Service. Device telemetry is ingested through secured tokens or credentials that you must protect from unauthorized use.

EC4S does not warrant the accuracy, completeness, or timeliness of sensor readings, GPS data, or device connectivity. We are not liable for delayed, failed, or inaccurate telemetry, alerts, or device malfunctions arising from hardware faults, network conditions, site environments, or third-party equipment.

The Service may provide view-only playback of CCTV streams through streaming infrastructure. You are solely responsible for lawful deployment of cameras, required signage, notices, consents, and retention practices in your jurisdiction.

Unless explicitly configured otherwise, EC4S does not record or permanently store CCTV footage on your behalf. Live streams are provided at your risk. We are not responsible for stream interruptions, latency, or third-party streaming infrastructure outages.

The Service delivers alerts and notifications on a best-effort basis through email, webhooks, Telegram (where configured), mobile push notifications, and other channels. Delivery is not guaranteed and may be affected by network conditions, device settings, third-party services, or user configuration.

Alerts and notifications are informational tools only. They are not a substitute for on-site safety procedures, physical alarms, emergency services, or professional safety judgment.

The Service may use artificial intelligence (including Google Gemini) to assist with dashboard and widget generation. AI-generated content is provided for informational purposes only and may be inaccurate, incomplete, or unsuitable for your specific site conditions.

You must independently review and verify all AI-generated content before relying on it for operational, safety, or compliance decisions. EC4S disclaims all warranties regarding AI-generated outputs.

The EC4S store allows purchase of hardware and related products. Paid orders are processed through Stripe. Prices are displayed in Hong Kong dollars (HKD) unless otherwise stated at checkout.

Free-trial hardware is governed by a separate Device Free Trial Agreement executed at checkout. That agreement is incorporated into these Terms by reference for trial devices and prevails over these Terms to the extent of any conflict regarding trial hardware.

Title and risk of goods pass according to delivery terms stated at checkout. Returns, refunds, and warranty claims are handled according to the store policies published at the time of order.

The Service, including all software, user interfaces, analytics, documentation, trade marks, logos, and improvements, is and remains the exclusive property of iOE Technology Ltd. and/or its licensors. Nothing in these Terms transfers any intellectual property rights to you.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service solely for your internal business operations. You may not copy, modify, distribute, or create derivative works of the Service except as expressly permitted.

You retain ownership of data, configurations, and content you upload to the Service ("Customer Data"). You grant EC4S a worldwide, non-exclusive licence to host, process, transmit, display, and use Customer Data solely to provide, maintain, secure, and improve the Service and as described in our Privacy Policy.

You represent and warrant that you have all rights and consents necessary to upload Customer Data and to grant this licence.

You shall keep confidential all non-public information concerning EC4S, including pricing, security architecture, roadmap details, and beta features, and shall not disclose such information except to advisers bound by professional duty of confidentiality or as required by law (with prompt notice to EC4S where permitted).

The Service may integrate with or link to third-party services such as ThingsBoard, Telegram, external web applications, weather data providers, payment processors, and cloud infrastructure providers. Your use of those services is subject to their respective terms and privacy policies.

EC4S is not responsible for third-party service availability, performance, or data handling practices.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.iOE Technology Ltd. DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AND UNINTERRUPTED AVAILABILITY.

We do not warrant that alerts will prevent accidents, that telemetry will be error-free, that the Service will meet regulatory certification requirements, or that the Service will satisfy your specific safety or operational needs.

EC4S is a technology platform. It is not a substitute for professional safety advice, engineering judgment, statutory compliance programmes, DEVB or Smart Site Safety System certification obligations, or emergency response services.

You are solely responsible for site safety outcomes, regulatory compliance, worker training, physical safety measures, and decisions made based on information displayed through the Service.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, iOE Technology Ltd. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS INTERRUPTION, OR PERSONAL INJURY OR PROPERTY DAMAGE ARISING FROM OR RELATED TO THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

iOE Technology Ltd.'S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU TO EC4S IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) HKD 10,000.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under the laws of the Hong Kong Special Administrative Region.

You agree to indemnify, defend, and hold harmless iOE Technology Ltd., its directors, officers, employees, and agents from and against all claims, fines, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to:

• Your Customer Data or monitoring practices
• Your breach of these Terms
• Your violation of applicable law or the rights of any third party
• Misuse of devices, IoT tokens, or the Service attributable to your negligence or authorized users
• Unauthorized access to the Service caused by your failure to safeguard credentials or tokens

This indemnity does not apply to the extent a claim arises from iOE Technology Ltd.'s wilful misconduct or fraud.

You may stop using the Service at any time and may delete your account through web or mobile settings. We may suspend or terminate your access immediately for breach of these Terms, legal requirements, or security risks.

Upon termination, your licence to use the Service ends. Sections that by their nature should survive (including intellectual property, confidentiality, disclaimers, limitation of liability, indemnification, and governing law) will survive termination.

These Terms are governed by the laws of the Hong Kong Special Administrative Region, without regard to conflict-of-law principles.

You agree that the courts of Hong Kong shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, and you submit to the personal jurisdiction of those courts.

• Entire agreement: These Terms, together with the Privacy Policy and any applicable Device Free Trial Agreement, constitute the entire agreement regarding the Service, except for separate written agreements signed by authorized representatives of both parties.
• Amendments: We may update these Terms by posting a revised version at https://ec4s.com/terms. Continued use after the effective date of changes constitutes acceptance.
• Severability: If any provision is held invalid or unenforceable, the remaining provisions remain in full force.
• No waiver: Failure to enforce any provision is not a waiver of that provision.
• Assignment: You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
• Notices: Notices to EC4S must be sent to legal@ec4s.com (or such address as we publish on the Service).
